Please read these Terms of Service ("Terms") carefully before using the Millron Chat application ("App"). These Terms govern your use of the App provided by Millron Marine. By using the App, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the App.

1. Use of the App

   1. Eligibility: You must be an authorized employee or representative of Millron Marine to use the App. By using the App, you represent and warrant that you have the authority to enter into these Terms on behalf of Millron Marine and that you will comply with all applicable laws and regulations.

   2. Account Registration: To use the App, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information during the registration process and to promptly update any information that may change.

   3. Applicable Policies: Your use of the App is subject to these Terms, as well as any additional policies or guidelines provided within the App. You agree to comply with all such policies and guidelines.
       

2. Intellectual Property Rights

   1. Ownership: Millron Marine retains all rights, title, and interest in and to the App, including all intellectual property rights associated with it. You acknowledge that these Terms do not grant you any ownership or license rights to the App, except for the limited right to use it in accordance with these Terms.

   2. Restrictions: You agree not to copy, modify, distribute, sell, lease, or sublicense the App or any part of it, nor to reverse engineer, decompile, or attempt to extract the source code from the App.
       

3. User Conduct

   1. Prohibited Activities: When using the App, you agree not to:

      • Engage in any unlawful, fraudulent, or unauthorized activities;

      • Use the App to transmit any viruses, malware, or other harmful code;

      • Interfere with or disrupt the operation or security of the App;

      • Use the App to transmit or store any infringing, obscene, or offensive content;

      • Violate the privacy rights of others or collect or store personal information of other users without their consent.

   2. Compliance with Laws: You agree to use the App in compliance with all applicable laws, regulations, and third-party rights.
       

4. Disclaimer of Warranties
   The App is provided "as is" and without any warranties or representations, whether express or implied. Millron Marine disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. Millron Marine does not guarantee that the App will be uninterrupted, error-free, or secure.
    

5. Limitation of Liability
   To the maximum extent permitted by applicable law, Millron Marine and its affiliates, directors, officers, employees, agents, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the App.
    

6. Indemnification
   You agree to indemnify and hold Millron Marine and its affiliates, directors, officers, employees, agents, and suppliers harmless from any claims, demands, liabilities, damages, losses, costs, and expenses, including reasonable attorney's fees, arising out of or in connection with your use of the App, your violation of these Terms, or your violation of any rights of another party.
    

7. Modification and Termination
   Millron Marine reserves the right, at its sole discretion, to modify, suspend, or terminate the App or these Terms, at any time and without prior notice. Millron Marine may also impose limits on certain features or restrict your access to parts or all of the App without liability or obligation.
    

8. Governing Law and Dispute Resolution
   These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada. Any dispute arising out of or relating to these Terms or the use of the App shall be submitted to binding arbitration in accordance with the rules of Ontario, Canada. The language of the arbitration shall be English.

9. Severability
   If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

10. Entire Agreement

These Terms constitute the entire agreement between you and Millron Marine regarding the use of the App and supersede any prior agreements or understandings.
